Sales Process

The steps in the business sale process

1.
Is your business ready for sale? New Broad Street can offer a no obligation consultation for business owners to assess readiness for sale, market conditions and valuation.
2.
How much is your business worth.? It is important to assess at an early stage what the likely sale value of your business will be. There are dozens of ways of valuing a business and very different methodologies for businesses raising initial capital, seeking to attract funds for growth, or exiting by the sale of the entire business. Even if selling 100% of your business there are many forms of valuation that can be based on turnover, asset value, a multiple of operating profits or based entirely on a market evaluation.

Factors to take into consideration include not just recent trading figures but also leasehold terms/ freehold and asset values, current market sentiment, corporate structure, involvement of the current owners and how they remunerate themselves, length of any handover and value and quality of ongoing client contracts. Sellers should be very cautious of any valuation (particularly over the phone) which is simply a mathematical output based on turnover or profit figures. Such valuations are likely to be very wide of the mark and can lead to months or even years of struggle to sell a business or a sale at submarket value.

Sadly a common tactic of many ‘business brokers’ is to inflate valuations to secure business. New Broad Street will take all relevant factors into account including making a site visit where any premises are involved (alarm bells should ring if a ‘broker’ refuses to meet you or view the premises), and your valuer will discuss with you the different methodologies and a range of values. Ultimately it will always be up to the seller to choose marketing price and of course what may constitute an acceptable offer.

Marketing the business for sale. Where advertising is appropriate, New Broad Street advertises on all of the major business sales platforms including Rightbiz, Businessesforsale and Daltons as well as on social media channels such as LinkedIn. We are also able to make direct approaches to possible acquirers including both institutional and trade buyers. All marketing and advertising is pre-approved by the seller as is the professionally produced brochure and/or information memorandum for the business. We can also conduct confidential sales where your company identity is only revealed to qualified serious potential buyers.
6.
Once a seller has verbally accepted an offer an allowance needs to be made of between two and six months for the transaction to complete depending on the complexity of the sale. New Broad Street can recommend efficient, good value and specialist firms of solicitors to ensure that the sale goes as smoothly as possible. We will prepare the initial Memorandum of Sale, request proof of funds from prospective buyers and keep in touch with all parties throughout the sale process including, of course, price and terms negotiation on behalf of the seller as required.
7.
The initial valuation and consultation with New Broad Street are always free and with no obligation whatsoever. A face to face visit will be made where premises are involved, not just to assist with valuation (based on size, location, setting, fitout, equipment etc) but also so that we can properly promote the business to buyers when they enquire. Most of our competitors refuse to make face to face visits and will hand you over to a remote call centre as soon as your initial payment clears.

Your Role

A Regional Business Partner is responsible for helping clients sell businesses. You will assist in finding suitable buyers for a business and guide the client through the entire process, from initial consultation to closing the sale. The Regional Business Partner will work with the Support Centre team to ensure the client’s business is marketed on the top Business Sales Websites such as Rightbiz, Businessessforsale.com and Daltons.

Profit Share

We have developed a profit share system whereby you will receive 60% of commission paid to us by the clients you service.

This covers the cost of the training, leads, advertising, marketing, compliance, insurance and sales support you receive from our Support Centre team. You will receive all our training and support regardless of the number of clients you bring on board. 

Our Management and Support Centre teams are here to provide you with as much help and guidance as you need to build your own successful business.
